BOARD OF DIRECTORS MEETING

UNAPPROVED

 

The meeting of the South Bay Community Association (SBCA) Board of Directors was held at the Bay Club on the above date.  Directors present were: Joe Kelly, Dan Meade, Tom McCay, Sharon Walker, and Chris Whitehurst. Ken Snider and Lee Springgate were absent.

Dan Meade called the meeting to order at 9:00 AM. A quorum was present.
 

•Prior Meeting Minutes:

MSP to approve the February meeting minutes.  (All ayes)

Community Input: No community input.

Financial Report:

Chris Whitehurst reported the financial highlights for January, showing the Total Current Assets for the month to be $395,399.62 and Total Assets to be $609,871.39, with an increase of $22,090.62 over last year’s Total Assets. The Income Statement for January showed total revenues of $80,458.63 and Total Operating Expenses of $35,944.03, with a Net Operating Surplus of $72,816.22 for the current fiscal year. The Maintenance reserve is $172,879.87 and the Renovation Fund is $117,564.13. The final payment on the shop lights was $1,867.19.

MSP to accept the Financial Report for January, 2009. (All ayes)

 

•Correspondence: As a result of the February 3 Executive Session meeting of the Board, a letter was sent to the SBCA member in question. A March 6 letter was received from Garry and Patti Settle regarding pool and weight room facility use. Separate March 5 letters were received from Marianne Barber and Douglas L. Barber regarding the same issue. Dan Meade received an email from Randall Shelley supporting Douglas Barber’s position.

It was noted that the Communications binder has been missing from the Bay Club office since before the February SBCA meeting.

 

Old Business

 

•Members and Guests Defined: Tom McCay moved to amend the “Membership Cards and Guest Passes” section in the Bay Club General Rules and Information to read: “Members’ guests are always welcome in the Bay Club, but must be accompanied by and signed in by the member. A guest is defined as an immediate family member, or an unrelated person or individual(s) who is(are) residing overnight in the member’s home. In instances where the member will be away for one week or longer and, when friends or family will be staying in the member’s home, the member will submit a written note to the Club giving the name(s) of the(those) guest(s) for whom the member is requesting Club privileges, and a waiver will be filled out and deposited with the Club.”

MSP to amend the policy. (All ayes)

 

•Correspondence Policy: Joe Kelly moved to adopt the following Communication Policy: “The SBCA board meets at 9AM on the first Friday of the month at the Bay Club. SBCA members may make comments or ask questions during the Community Input or Comment sections of the meeting. Further, members are encouraged to participate in all discussions. Members who have questions about the meaning of or interpretation of rules and regulations, or who have complaints about any aspect of the functioning of the SBCA, can submit a hard copy of their inquiry to the SBCA Board in care of the Bay Club.”

MSP to adopt the policy. (All ayes)

 

New Business

 

Chris Whitehurst moved to rescind the Port Ludlow South Bay Club Rules document and replace it with the Policy and Procedures document.

MSP to incorporate the Policy and Procedures document. (All ayes)

Chris Whitehurst moved to amend the Policy and Procedures document as it pertains to the pool to read: “Persons with hypertension, heart conditions, or other health conersn, and those persons taking prescribed medications, should consult a physician before undertaking any strenuous physical activity, including use of the swimming pool. The manager of the Bay Club shall determine temperature settings. If you have heart or respiratory conditions, high water temperature in the spa may cause increased stress. Please check with your physician.”

MSP to amend the Policy and Procedures document. (All ayes)

Tom McCay moved that he be allowed to create a committee of five to seven community members to explore the possibility of joining the Port Ludlow Drainage District.

MSP to allow Tom McCay to form the committee. (All ayes)
