Minutes of Special Meeting
Of the
Bayview Board of Directors
Date: 09 February 2005
Place: Office of Bill Broughton, Attorney At Law, Silverdale, Washington
Purpose: Review of Article of Incorporation, Bylaws and CC&R’s for Bayview
1,2 & 3
Start of Meeting: 1000 a.m.
Attendance: Richard Rozzell, Bob Azen, Nancy Kragh, Carol Franznick, Jean
Loughran and Bill Broughton
First topic of discussion was to determine if there was actually three
separate villages making up Bayview Village. Mr. Broughton stated that he
believed there were actually two separate villages with Bayview Village 1 and
2 as totally separate villages, but that since no Master CC&R’s were filed
against Bayview Village 3, it would have to become a part of either 1 or 2 but
that could not occur until the problems with the South Bay community was
resolved.
Second topic of discussion was on the Articles of Incorporation filed with the
State of Washington forming Bayview Village Association. As filed there are
several problems with the document that need to be cleaned up (amended for
corrections). Amendments were discussed and how they could occur.
Third topic of discussion was on the Bylaws for Bayview Village. They
reference Master CC&R document # 324010 only which was filed with Bayview
Division 1 only. Mr. Broughton stated that changes or amendments need to be
done to this document as well in order to clean up the problems with it.
Richard Rozzell stated that he had already drafted changes that he believed
needed to be done to that document and would send them to all the other
members for their review and then send the finalize document to Mr. Broughton
for his review and possible corrections. Discussion was then brought up as to
the best way to approach the residents of Bayview for their approval of these
changes. Bill Broughton thought a video of himself and one of the Board
members discussing the problems and why the changes were needed could be done
and several copies made for distribution throughout the membership.
The final discussion was regarding how much it was going to cost to make these
fixes. Mr. Broughton stated that he believed it could cost as much as
$5,000.00 if he did all the work. Following the meeting with Mr. Broughton,
Richard Rozzell suggested that members of the Board could do most of the work
and just have Mr. Broughton do the final review and maybe keep our cost down.
Meeting ended at 1207 p.m.
