January Board Meeting
January 3, 2006, 1:00 p.m., Bay Club

Unofficial Minutes

Bob Edelblut, Interim President

Roll Call: Bob Edelblut, Dan Quail, Bev Rothenborg, and Jack McKay

Excused: Gregg Hupp and Pegi Graham

Guest: John Emery

Approval of December minutes: Motion by Quail, second by Edelblut to approve the December minutes.  Passed.

Signing Management Contract: Signed by Edelblut, Quail, McKay, and Rothenborg.  Rothenborg will mail contract with amended date starting, July 1, 2006.  Also, IHVCA insurance will cover Management Company, but will not cover any contracted employees of the Management Company.  Confirmed with telephone conversation.

Reports

Financial Report: The December budget status report was reviewed by the Board.  Sixty-eight percent of the budget has been expended as of December 31, 2005.  Motion by McKay, seconded by Quail to accept the budget status report.

Report on Landscaping:   Report by Bob Edelblut

• Bestscape Contract will be reviewed by Rothenborg regarding contract renewal language.
• Major activities are currently related to cleaning and trimming. 
• Request of Bestscape to place sod in area damaged at turn to N. Chandler.

Report on Maintenance Activities: Report by Dan Quail

• Authorization to spend funds:  Motion by Quail, seconded by Edelblut, to authorized that Maintenance Chair have the authority to make minor purchases and repair up to maximum of $200 per activity.  Passed.
• Roof Tile repair:  Motion by Quail, seconded by Edelblut, to call for an inspection of the roof tile in order to obtain an estimate of repairs, if needed.  Passed.
• Discussion with John Emery regard the Association’s responsibility to repair Emery’s deck. Further discussion will be held at the February meeting regarding the responsibilities for the Emery deck repair.
• Discussion of road repairs.  Will be done in conjunction with Bay Club. Quail will speak with Mike Morgan of SBCA and Rothenborg will contact Hidden Cove representative regard joint responsibilities of repairs.)

Update on Reserve Study: Reviewed document developed by Doug Barber.  Excellent background information collected by Barber and submitted to the company doing the reserve study.  The question of what constitutes a “reserve” expense was discussed.

Update on Audit:  Report should be completed by April.

Update on CC&Rs:  Will be completed when the reserve study and audit are completed and the issues of repair and maintenance have been clarified. Letter from the IHVCA attorney is anticipated to help clarify was in “limited” and “common” areas. 

Report on Christmas Decorations for 2006:  Rothenborg report that the $200 allocated for Christmas decorations for the Village will be combined with a similar amount contributed by the Bay Club.  The total amount will be used to purchase decorations for the 2006 holiday season.

New Business

1. Regular Meeting Date change:  Moved by Edelblut, seconded by Quail, that the regular meeting of the IHVCA Board be the second Friday of each month, starting at 3:00 p.m.  (This will start in February)  Passed.
2. Question presented about the legality of a garage sale.  Rothenborg will check the CC&Rs and the Village Rules for clarification.

1. Clarification on the use of reserve funds
2. Clarification about garage sales in Inner Harbor
3. List of major maintenance and repair items anticipated for 2006
4. Clarification regarding responsibilities related to the Emery deck
5. Clarification on renewal clause of the Bestscape contract
6. Clarification on road repair responsibilities
7. Clarification on the cable TV contract
