Minutes of Board meeting, June 10, 2005, Bay Club

Meeting called to order at 3:05 p.m.


Members Present: Bob Force, Kees Bouterse, Pegi Graham, Gregg Hupp, Margie Garcia, and Jack McKay

Guests: Mark Garcia, Bill Adams, Mariann Barber, and Greg McCarry and Larry Smith of PLA

Unofficial part of meeting: Bill Adams asked about the possibility of using parking spaces (drive ways) for board members of the Arts Council during the Music on the Green concert - from noon to 2:00 p.m. on July 24th. Consensus was to allow parking.

Meeting called to order.

Greg McCarry spoke about the Inner Harbor CC&Rs.

Background: The Board agreed to repair decks that were in need of repair at the expense of the Association. Now, the issue of repair has come under question and there is a need to review the issue with the membership. It is suggested that the issue be brought to the homeowners for a direction.

Should the homeowner or the Association be responsible for the repair of decks and porches due to weather, age, and/or neglect.

Alternative #1: The Association will repair all decks in need once, then it is the owners responsibility to maintain new/repairs in the future.

Alternative #2: The association will discontinue the permissive policy of repair decks and porches as needed.

Alternative #3: The association continue to repair decks and porches as needed.

Should there be a capital budget for repairs of decks and porches?

(Mark Garcia and Greg McCarry discussed the minutes of the meeting on March 1, 1993. "The maintenance would be for the landscaping, the exterior of the buildings and the limited common areas which are the garages, decks, driveways, and the storage areas.)

Decks and porches were set aside as a maintenance responsibility of the homeowner's according to the intent of the CC&Rs. Greg McCarry stated that a capital improvement fund was never established.

What is the associations responsibility for decks and porches for the overall appearance of the common property?

Under the CC&Rs, maintenance is the responsibility of the homeowner.  the association's attorney say that repairs are not clearly referenced or defined by the CC&Rs.

Suggested solution: Have a vote of the association owners with the majority opinion of the members to resolve the issue of the repair of decks and porches. Establish the policy and follow the practice.

The practice of repairing decks was established by previous boards.

The issue is not maintenance - maintenance is the homeowners responsibility. Should the major repairs be the association's responsibility?


1. Budget Report by Janet Force: Total assets: $98,288.73. Total liabilities: $98, 288.73.

Internal audit has been completed by Bruce Ehrhardt and Tony Durham. Financial records are in order.
There will be a vote on the Annual meeting to have an outside audit.

2. Minutes of May 13 and May 16, 2005. Approved.

3. Annual Meeting planning: Annual meeting June 22, 2005, 3:00 p.m. Special meeting of the board on Friday, June 17, 2005, at 3:00 p.m. Soft drinks and pizza. Anticipate 50 to 60 in attendance.

Agenda items:
  1. CC&Rs: CC&Rs will be made available at the homeowners at the annual meeting. A questionnaire would be distributed to homeowners about the CC&Rs regarding maintenance and responsibilities. What is the best policy to follow regarding homeowner maintenance and repair of limited common areas? A list of "pros and cons" of the issue regarding homeowner maintenance and repair will be discussed.
  2. Long-term maintenance: Recommendation that a "long-term" maintenance and repair of limited common areas list be developed with anticipated costs. Then a survey would be done on ways to finance future obligations - special assessment or increase in dues. Bob Force and Mark Garcia have volunteered to lead on the development of the "long-term" implications.
  3. Cost of deck repairs: A summary of the cost of decks and porches will be presented at the annual meeting.
  4. Landscaping report: Landscaping, maintenance, and potential costs for future repairs.
  5. Election of officers.

4. Compensation for the fiscal officer of the Association.

Currently, $2300 per year, including office supplies except for major mailings.
The alternative would be the waiver of the association dues as compensation for the fiscal officer.  A motion was made to waive the quarterly assessment. The wavier of the quarterly assessment would be compensation for the fiscal officer of the Association. Passed.

5. Landscaping Report:

Pegi Graham gave a report on working with Bestscape. Tree removal activities were covered. Suggestion was to have the Bestscape come on Friday instead of Monday for weekend appearance. Generally, the performance of Bestscape has been satisfactory for the past few months, however, Bestscape has been a short of workers.

Kees Bouterse and John Olson were commended for their work on taking care of maple trees in the common areas of the Association.

6. Maintenance Report

Discussion about the resealing of roads of the Association. Resealing will be in conjunction with the South Bay resealing project.

Painting trims to be done as needed at the cost of $30.00 per hour.
What about maintenance work done by the homeowner that is the Association's obligation?
What about compensation to the homeowner for work done. There is the question of insurance.
Supplies will be paid by the Association. Paint is available for trim work. Contact Pegi Graham.

7. Election of Officers: Election will be held after the election of directors following the Annual meeting, June 22, 2005.
